01About these terms
Access to and use of the website at www.thenticlabs.com (the “Website”) is provided by Open Vantage B.V. (KvK number 77774558), a private limited company (besloten vennootschap) incorporated under the laws of the Netherlands with its registered office at Koevelden 1, 5685 HE Best, trading under the name “Thentic Labs” (“Thentic Labs”, “we”, “us” or “our”), on these terms of use (the “Terms”). By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, you should not use the Website.
02Relationship to the software platform
These Terms govern your use of the Website only. Thentic Labs owns the intellectual property in the Arcaidea software platform (the “Platform”) and licenses it to Arcaidea (Pty) Ltd. Access to and use of the Platform by customers is governed by a separate subscription agreement, and any associated data processing agreement, entered into with Arcaidea (Pty) Ltd. In the event of any conflict between these Terms and such a subscription agreement in relation to the Platform, the subscription agreement prevails.
03Changes to these Terms
We may amend these Terms from time to time. The current version will always be available on the Website and should be reviewed regularly. Your continued use of the Website after any change takes effect constitutes acceptance of the amended Terms.
04Use of the Website
You may use the Website only for lawful purposes and for your own personal or internal business use. You agree that you will not:
- use the Website for any purpose that is unlawful, defamatory, harassing, abusive, fraudulent, obscene or otherwise inappropriate;
- distribute, reproduce or exploit any part of the Website or its content in any medium without our prior written authorisation;
- alter, modify, disassemble, decompile or reverse engineer any part of the Website;
- disable or interfere with any security-related feature of the Website; or
- use the Website in any way that does, or may, impair its availability or interfere with other users’ access.
Any breach of these conditions constitutes a breach of these Terms and may result in your access being suspended or terminated.
05Intellectual property
All information, materials, logos, trademarks and service marks made available through the Website (the “Material”) are protected by Dutch and international intellectual property laws and, unless otherwise indicated, are owned by or licensed to Thentic Labs. The Arcaidea Platform and its underlying intellectual property are owned by Thentic Labs and licensed to Arcaidea (Pty) Ltd. No right, title or interest in any Material is granted to you except as expressly set out in these Terms. Nothing on the Website should be construed as granting any licence or right to use any trademark without the written permission of its owner. Any unauthorised copying, reproduction, distribution, publication or other exploitation of the Material is prohibited.
06Content you submit
Except for your personal data (which we handle in accordance with our Privacy Policy), you grant Thentic Labs a worldwide, non-exclusive, royalty-free licence to use, copy, reproduce, process, adapt, publish, transmit and display any content that you submit through the Website, for the purposes of operating and improving the Website and our services. You are responsible for ensuring that any content you submit does not infringe the rights of any third party.
07Availability of the Website
While we strive to keep the Website available and operating correctly, the internet is not always a stable environment and we do not warrant that the Website will be available, uninterrupted or error-free at any time. Access may be suspended without notice for system failure, maintenance, repair or reasons beyond our reasonable control, including (without limitation) strikes, system or network failures, fire, explosion, accident, or the failure of any third-party telecommunications or service provider. We are not liable for any such unavailability or delay.
08Disclaimer of warranties
Your access to and use of the Website is at your own risk. The Website and its content are provided on an “as is” and “as available” basis, without warranties or representations of any kind, whether express or implied. Where applicable, your mandatory statutory rights are not affected. In particular, while we take reasonable measures to protect users, we cannot warrant that the Website is free of viruses, malware or other harmful components, and you are responsible for implementing appropriate protection. 09Limitation of liability
To the maximum extent permitted by law, Thentic Labs shall not be liable for any direct, indirect, incidental, special or consequential damages, loss of profits, loss of data, or other losses, expenses or liabilities arising out of or in connection with your access to, use of, or reliance on the Website or its content, or any information provided by our employees, agents or subcontractors in relation to the Website. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable Dutch law.

Where the Website contains links to third-party websites or resources, those links are provided for your information only and do not constitute an endorsement by Thentic Labs. We have no control over, and accept no responsibility or liability for, the content, products or practices of any third-party website or resource.
11Personal data
We process personal data in accordance with our Privacy Policy and applicable law, including the General Data Protection Regulation and the Dutch GDPR Implementation Act (UAVG). Please review our Privacy Policy, available on the Website, to understand how we handle your personal data.
12Governing law and jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them or your use of the Website, are governed by the laws of the Netherlands. Any such dispute will be submitted to the exclusive jurisdiction of the competent court of the District Court of Oost-Brabant (Rechtbank Oost-Brabant), the Netherlands, except where mandatory law provides otherwise (for example, the rights of a consumer to bring proceedings in the courts of their place of residence).
13General
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any provision does not constitute a waiver of that provision. These Terms, together with the Privacy Policy, the Cookie Statement and the Disclaimer, constitute the entire agreement between you and Thentic Labs in relation to your use of the Website.
